Merchant Listing Agreement
Between:
Betaflip (PTY) Ltd (Registration No. 2022/701382/07), hereafter referred to as "the Company", is the owner and operator of the Istoko platform ("Istoko").
and
The Merchant/Business (the "Merchant"), hereafter referred to as "you" or "your".
1. Purpose
This Agreement governs your listing of your business on Istoko and the associated terms and conditions of use, listing, and payment.
2. Listing Period and Fees
- Free Trial: Your business listing will be free for the first 30 days, allowing you to familiarize yourself with the platform and its features.
- Renewal and Payment: After the initial 30-day period, continuation of your listing is optional and subject to renewal fees based on your area's foot traffic.
- We will monitor foot traffic and notify you with an invoice indicating the renewal fee for the upcoming 30-day period.
- The renewal fee is variable and depends on foot traffic thresholds predefined by Istoko.
- If the foot traffic in your area falls below the minimum threshold, your renewal fee may be reduced or waived entirely for that month.
- Foot traffic data is calculated based on user interactions and geolocation activity within a defined radius of your business listing.
- You may choose to renew your listing starting from 7 days before your current expiry date. If renewed early, the new 30-day listing period is added to your existing expiry date.
- There is no obligation to renew. Merchants may opt in or out of listing renewals at their discretion, with no long-term commitment.
3. Business Listing Features
As a listed merchant, you may:
- Display your business information, specials, events, and promotions.
- Access insights and analytics on your listing’s performance and customer engagement.
- Request verification, which includes a full Know Your Customer (KYC) process and onsite inspection conducted by Istoko.
- Accept payments and sell tickets or vouchers directly within the Istoko app upon verification.
4. Verification Process
Verification is mandatory to access payment features and trusted status on Istoko. The verification process includes:
- Submission of official business documentation for KYC compliance.
- Onsite inspection by Istoko representatives to confirm business legitimacy.
- Verification may take up to 14 business days.
- Only verified businesses can accept payments within the app.
5. Invoicing and Payment Terms
- Invoices for renewal fees will be issued monthly and sent to the registered email address.
- Payments must be made before or on the renewal date to avoid interruption of service.
- Failure to pay may result in suspension or removal of your listing until payment is received.
- Payment methods will be provided by Istoko.
6. Termination
- Either party may terminate this Agreement by providing 30 days' written notice.
- Betaflip (PTY) Ltd reserves the right to suspend or remove listings for violation of platform policies or fraudulent activities.
7. Merchant Obligations
- You agree to provide accurate, up-to-date information about your business.
- You will comply with all applicable laws and regulations.
- You shall maintain a professional standard in all listings and communications on the platform.
- You acknowledge that Betaflip (PTY) Ltd does not guarantee any specific level of sales or customer engagement.
8. Liability
Betaflip (PTY) Ltd is not liable for any direct, indirect, or consequential damages arising from your use of the Istoko platform or listings. You agree to indemnify and hold harmless Betaflip (PTY) Ltd from any claims related to your business listings or interactions.
9. Privacy and Data Protection
Betaflip (PTY) Ltd commits to protecting your data as outlined in our Privacy Policy. By using Istoko, you consent to the collection and use of your data as described.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa.
By listing your business on Istoko, you acknowledge that you have read, understood, and agree to the terms of this Agreement.
